Terms of Service for Ohio Deal Portal Substack

By accessing or using Ohio Deal Portal (“ODP”), a brand and business of Little Hellos LLC, a limited liability company registered in Ohio, including its website (www.ohiodealportal.com) (www.ohiodealportal.com), mobile application, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Service Description:
   ODP, created and spun out by Little Hellos LLC, connects startups and members through profiles, newsletters, briefings, and other content. It is intended for informational purposes only and does not constitute financial, legal, or investment advice.

2. User Eligibility:
   You must be at least 18 years old and have the legal capacity to enter into these Terms to use the Service. By using the Service, you represent that you meet these requirements.

3. Content Ownership and Use:

   • All content on the Service, including text, graphics, profiles, and briefings (collectively, “Content”), is owned by Little Hellos LLC or its licensors and is protected by copyright and other intellectual property laws.

   • You may use the Content for personal, non-commercial purposes only. You may not reproduce, distribute, modify, or create derivative works from the Content without prior written consent from Little Hellos LLC.

   • The Content is not financial, legal, or investment advice. You are responsible for conducting your own research and due diligence before acting on any information provided.

4. User Responsibilities:

   • Account Security: If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

   • Accurate Information: If you submit information (e.g., startup profiles or membership data), you represent that it is accurate, complete, and current.

   • Prohibited Conduct: You agree not to misuse the Service, including but not limited to redistributing Content, violating applicable laws, or attempting to access unauthorized areas of the Service.

5. Membership Program and Startup Submissions:

   • Members: If you join the ODP Membership Program, you agree to provide accurate information, keep briefings confidential (if applicable), and make independent decisions based on the Content. Membership benefits, such as access to exclusive content or opportunities, are subject to Little Hellos LLC’s discretion.

   • Startups: If you submit a startup profile, you agree to provide accurate data. Little Hellos LLC does not guarantee publication or promotion of submitted profiles. Approval and publication are at the sole discretion of Little Hellos LLC.

6. Disclaimers and Limitation of Liability:

   • The Service is provided “as is” without warranties of any kind, express or implied. Little Hellos LLC, as the owner of ODP, does not guarantee the accuracy, reliability, or availability of the Service.

   • Little Hellos LLC and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Service or reliance on its Content.

7. Newsletter Subscriptions:

   • If you subscribe to the ODP newsletter (via Substack or another platform), you are also subject to the terms of service of that platform (e.g., Substack Terms of Service).

   • You may unsubscribe at any time via the unsubscribe link in the newsletter.

8. Termination:
   Little Hellos LLC reserves the right to suspend or terminate your access to the Service, including membership, at its discretion, including for misuse, violation of these Terms, or any other reason.

9. Governing Law:
   These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Franklin County, Ohio.

10. Changes to Terms:
    Little Hellos LLC may update these Terms at any time. Significant changes will be communicated via the Service or by email. Your continued use of the Service constitutes acceptance of the updated Terms.
